Agreement

This Cardholder Agreement (“Agreement”) is a binding agreement between you, Ethiq Labs Inc. (“Entry,” “Company,” “we,” “us,” or “our”), and the Issuer, governing your use of Entry Cards. Access to Entry Cards is provided by Ethiq Labs Inc. in connection with your use of Entry Terminal.

Background

The Card is provided by Entry in connection with the User Terms available at entry.fi/legal/terminal-terms. The Issuer is not a party to the User Terms. This Agreement governs your Card account separately.

Defined Terms

  • “Card” means the Entry Visa card issued to you under this Agreement, including any physical or virtual card.
  • “Card Networks” means Visa and any other payment network through which the Card may be used.
  • “Charge” means any purchase, fee, or other amount applied to your Account.
  • “Chargeback” means a reversal of a Charge initiated through the Card Network dispute process.
  • “Fee” means any fee set out in this Agreement or as notified to you.
  • “Issuer” means Third National Corporation, a Puerto Rico corporation.
  • “Periodic Statement” means the billing statement provided to you at the end of each billing cycle.
  • “Supported Blockchains” means the blockchain networks supported for collateral purposes, including but not limited to Ethereum, Polygon, Optimism, Arbitrum, and such other networks as may be supported from time to time.

1. Accepting this Agreement & Eligibility

By activating or using your Card, you agree to be bound by this Agreement. To be eligible, you must:

  • Not be subject to any sanctions imposed by the United Nations, the United States (OFAC), the European Union, or the United Kingdom (HM Treasury).
  • Use the Card for personal, non-commercial purposes only.
  • Not be a citizen or resident of the United States.

2. Issuer Terms

Cards are issued under a Visa license by the Issuer. The Issuer is responsible for certain aspects of Card issuance and operation as required by the Card Networks.

3. Spending Limits

Your spending limits are dynamic and may be modified at any time based on your collateral value, account history, and risk assessment. Entry reserves the right to adjust your limits without prior notice.

4. Purchases & Restrictions

Your Card may only be used for personal expenses. The following activities are prohibited:

  • Purchasing cryptocurrency or digital assets.
  • Lottery or gambling transactions.
  • Person-to-person money transfers.
  • Any illegal activity.
  • Any transaction that violates the Card Network rules.

5. Payments

  • You promise to pay all Charges and Fees on your Account when due.
  • Periodic Statements will be provided at the end of each billing cycle.
  • You may prepay your balance at any time without penalty.
  • Repayment is required in full by the payment due date shown on your Periodic Statement.

6. Fees

Fees are as disclosed in the Important Disclosures table above. We may update our fees with 30 days’ prior notice to you.

Penalty Fees:

  • Liquidation Penalty: Up to USD 35 if a Liquidation Event occurs on your collateral.
  • Returned Payment: Up to USD 29 for each returned or failed payment.

Foreign Currency Transactions:

Transactions in currencies other than US Dollars are subject to a foreign exchange fee of up to 3%, which includes the Card Network’s conversion fee and Entry’s fee.

7. Managing Entry Cards

  • Requesting Cards: You may request a physical or virtual Card through the Entry Terminal application.
  • Replacing Cards: If your Card is lost, stolen, or damaged, contact us at contact@entry.fi to request a replacement.
  • Permitted Use: Only you are authorized to use your Card. You must not allow anyone else to use your Card or Card details.
  • Lost or Stolen Cards: If your Card is lost or stolen, notify us immediately at contact@entry.fi. You may be liable for unauthorized transactions that occur before you notify us.

8. Chargebacks

If you believe a transaction on your Account is unauthorized or incorrect, you must notify us within 60 days of the Periodic Statement date. Chargebacks are processed in accordance with Card Network rules. You must cooperate with any investigation and provide requested documentation.

9. Termination

Either you or we may terminate your Account at any time. We may also suspend your Account at our discretion. Upon termination:

  • You must immediately stop using your Card.
  • You remain responsible for any outstanding balance.
  • Any remaining collateral will be released after all obligations are settled.

10. Change of Terms

We may change the terms of this Agreement at any time. We will provide notice as required by applicable law. Your continued use of the Card after the effective date of changes constitutes acceptance.

11. Remedies

If you fail to make any required payment or otherwise default on your obligations under this Agreement, we may declare your entire balance immediately due and payable and may take collection action as permitted by law.

12. Delay in Enforcement

No delay or failure by us to exercise any right under this Agreement shall be deemed a waiver of that right.

13. Communications and Call Recording

You authorize us to contact you at any contact information you provide using automated messages, telephone calls, emails, or text messages regarding your Account. You acknowledge that we may monitor and record communications for quality assurance, training, and compliance purposes.

14. Governing Law

This Agreement is governed by the laws of the Commonwealth of Puerto Rico and applicable federal law. The courts of Puerto Rico shall have exclusive jurisdiction for any proceedings arising out of this Agreement.

15. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

  • Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”).
  • No Collective Arbitration: You agree that disputes will be arbitrated on an individual basis only.
  • Small Claims Exception: Either party may bring an individual action in small claims court.
  • Class Waiver: You waive any right to participate in a class action, class arbitration, or representative proceeding.
  • No Jury Trial: By agreeing to arbitration, you waive the right to a jury trial.
  • Venue: Arbitration shall be conducted in Puerto Rico.
  • Confidentiality: All arbitration proceedings and outcomes shall remain confidential.
  • Survival: This arbitration provision survives termination of this Agreement.

Indemnity

You agree to indemnify and hold harmless Entry and the Issuer from and against any claims, losses, or damages arising from your use of the Card or breach of this Agreement.

Limitation of Liability

In no event shall Entry or the Issuer be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed the greater of USD 25,000 or the total fees paid by you in the preceding 6 months.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
